I need someone to review and comment on a purchase and sale agreement that is written in Nevada. I am the purchaser and the other person is selling me the property. I am a former litigation attorney with over 30 years experience. I have prepared and reviewed hundreds of purchase and sale contracts and have worked closely with many real estate brokers. I imagine that different people have different concepts of what is important to them in a purchase and sale contract. In my experience the most important thing to me and to my clients from the perspective of the purchaser was always the ability of the purchaser to terminate the contract without cause after the appropriate inspections and the refund of all deposits. Also, the financing contingency should favor the buyer as well giving him the greatest opportunity to obtain financing and terminate if his financing is not obtained within the contingency period. The typical contact these days is an "as is" deal with a right of inspection to the buyer to terminate for no reason whatsoever if the property does not live up to his inspection expectations. The seller of course wants the sale to be "as is" but he will usually want the buyer to have the right of termination after inspection only if the cost of repair of certain items exceeds a threshhold dollar amount. The buyer should try for the right to terminate for no reason within the specified inspection period which is usually about 15 days after signing. Most real estate closings are very routine after the inspection period has run. I assure you I have the experience to not only review and advise on the contract, but also to closing.

Good evening. I am a lawyer focused on contracts risk assessment, I currently work in Switzerland as Head of Legal Compliance and have both Western and Eastern European experience in assisting various businesses through the array of contracts negotiations in top-tier law firms. As for the top 3 things in SPA, assuming you are purchasing real estate, off the top of my head, I would draw my attention on the following: 1. Encumbrances' warranties You need to make sure that there are no encumbrances over the property and/or prohibitions on disposal (it shall be guaranteed in the contract and proved by a relevant register); 2. Financial issues First, very important to understand payment conditions: advance, in instalments or via mortgage, and if the seller expressly agrees with the specific payment terms you both negotiated. Second, very useful to include a schedule with calculation of closing costs each party pays (costs connected with the transfer of the property title: notary fees, insurance, title search, agent fees, etc.). 3. Property maintenance conditions To be on a safe side, I always include a professional property inspection, as a condition precedent in SPA, in case you might not want to pay for the major reconstruction/maintenance works as soon as you become the owner. I will certainly scrutinize 1) Valid documents of title and right of the seller 2) Possession and enjoyment of the property vested with the seller 3) Free from encumbrances etc.. Having experience as Lawyer I can do Justification.
